What Form of Business Entity Should I Choose

There are many options for business formation in the United States. Each option has advantages and disadvantages involving responsibility and tax liability. If you are seeking an immigrant or nonimmigrant business visa for business investments in the United States, our lawyers can assist you with business planning and corporate organization.

The following is a summary of choices of business entity that one may consider as a vehicle for immigration status:

  • Sole proprietorship: The business owner reaps all profits. However, the business owner also has full responsibility for debt or lawsuits against the business.
  • Partnership: Profits go to the partners. However, a partner can be held responsible for the actions of the other partners and lawsuits against the business. There are tax advantages to having a partnership rather than a corporation.
  • Corporation: A corporation enables shareholders to invest money into the business and generally relieves the business owners of personal liability. Options include
  • C Corporation: can have unlimited investors ranging from people to banks or companies. However, profit acquired in a corporation will be subject to double taxation.
  • S Corporation: more limits than a C Corp. However, profit from the S Corp is not subject to double taxation.
  • Limited Liability Company (LLC): profits go directly to the business owners. However, business owners cannot be held personally liable for business lawsuits or other member actions. An LLC is not subject to double taxation.
